The NASB team is responsible for developing and delivering best-in-class digital experiences to consumers, operating a distribution platform that connects the TV and mobile ecosystems, and providing unique solutions to advertising clients through its proprietary Samsung Ads platform. The NASB organization is a fully integrated business unit, with product, engineering, ad sales, marketing, partnerships, and supporting functions working together seamlessly to drive the success of the business. As Senior Counsel, Ad Sales & Ad Tech Partnerships, you will provide strategic legal support to the Ad Sales and Ads BD teams, translating complex legal and regulatory considerations into practical guidance while structuring and negotiating partnerships that support and scale Samsung’s advertising business. Role and Responsibilities Responsibilities: Independently lead the review, negotiation, and execution of a broad range of commercial agreements with advertisers, agencies, supply-side platforms, demand-side platforms, ad technology platforms (e.g., ad servers), data and identity vendors, and measurement partners. These agreements include insertion orders, media buying contracts, master service agreements, statements of work, Platform as a Services agreements, data licensing, data analytics and data integration agreements, and other partner enablement documentation. Proactively develop, draft and implement company policies, platform policies, and advertising guidelines to assist in implementing applicable laws as it applies to sales operations (i.e., laws as it pertains to lotteries, political advertising, etc.). Collaborate with privacy counsel to develop, draft and implement data guidelines, processes and procedures that have implications on data privacy and consumer protection. Develop and implement scalable processes to allow the Ad Sales and Ads BD teams the flexibility necessary to adapt and move quickly in this fast-changing advertising industry. Stay up-to-date on the latest developments in laws, regulation and industry trends applicable to advertising, ad tech, digital media and technology. Provide front-line counsel to executives, senior leadership, and the broader organization on various legal and business issues related to the Ad Sales and Ads BD teams. Work collaboratively across the organization to proactively provide legal guidance and manage legal risks while advancing business goals, including collaborating with the Product, Marketing, Finance and Tax teams. Skills and Qualifications Requirements: Bachelor’s degree and a Juris Doctorate degree from a U.S. accredited law school. Licensed to practice law in NY. Minimum 10 years of experience with a law firm or combination of law firm and in-house experience working with internet, technology and/or media companies in the ad tech/data space (e.g., ad serving, programmatic, data management, measurement and analytics). Deep understanding of advanced digital advertising, media buying, IOs, and IAB terms and conditions for digital advertising, as well as digital advertising technology, internet technology and cloud computing technology. Excellent working knowledge of data privacy, marketing and consumer protection laws. Comfortable with an ever-changing landscape and ability to thrive in a high-pressure, fast-paced environment. Excellent business and legal judgment, as well as a superior ability to assess risk and determine priorities based on that risk assessment and the needs of the business. Outstanding organizational skills and ability to manage multiple projects simultaneously in a timely manner. Strong negotiation and communication skills (both oral and written). Ability to communicate legal issues in a clear and understandable manner. Inspires trust and confidence through effective communication and interpersonal skills. Proven ability to quickly understand complex products and services, while identifying key issues and risks and offering creative solutions for business enablement. Compensation for this role, for candidates based in New York City, NY, is expected to be between $250,000 ~ $290,000.
